Balaji Spices Gujarat: Terms & Conditions (Concise Version)

These Terms & Conditions ("T&Cs") govern all sales and purchases of products by Balaji Spices Gujarat ("the Company") and its customers ("the Buyer"). By placing an order, the Buyer agrees to these T&Cs and must review them.

Jurisdiction & Governing Law: All transactions are governed by Indian law. Disputes are exclusively handled by courts in Junagadh, Gujarat, India.
Order Confirmation & Advance Payment:
a. Orders are confirmed only after the Company's written acknowledgment and receipt of the advance payment.
b. A mandatory advance payment is required to confirm and process any order.
c. Advance payments for one order cannot be set off against any other order.
d. Advance payments are generally non-refundable once the order is confirmed and processing begins, unless otherwise agreed in writing.
Pricing: Prices are subject to change until an order is confirmed and advance payment is received. All taxes, duties, freight, and other charges are borne by the Buyer unless explicitly agreed otherwise.
Quality Assurance:
a. The Company supplies Products meeting its internal quality standards and agreed specifications.
b. All Products undergo rigorous internal quality control checks before dispatch.
c. Quality acceptance is based on Company parameters; additional inspections require prior written agreement and may incur extra costs.
Weight & Measurement:
a. Product weight is determined by the Company's calibrated scales at dispatch.
b. This recorded weight is final for invoicing. Discrepancy claims require verifiable evidence and written notification within twenty-four (24) hours of receipt.
Shipment & Delivery:
a. Delivery terms (e.g., Incoterms) are stated in the sales confirmation.
b. Delivery dates are estimates only; the Company is not liable for delays due to unforeseen circumstances or force majeure.
c. Risk of loss or damage passes to the Buyer upon delivery to the first carrier or as per Incoterms.
d. The Buyer must inspect Products immediately upon receipt; visible damage claims require written notification with evidence within forty-eight (48) hours.
Transport:
a. The Buyer is responsible for arranging and bearing transport costs from the Company's facility, unless agreed otherwise.
b. If the Company arranges transport, it acts solely as the Buyer's agent, with the Buyer remaining responsible for risks and costs.
c. The Company is not liable for transit damage once risk has passed; claims must be lodged directly with the carrier.
Payment Terms (General): Full payment (including balance after advance, taxes, duties, freight) must be received by the Company prior to dispatch, unless formally agreed otherwise.
Force Majeure: The Company is not liable for delays or failures due to events beyond its reasonable control (e.g., acts of God, pandemics, supply chain disruptions). The Buyer will be notified promptly.
Limitation of Liability: The Company's total liability will not exceed the net invoice value of the Products claimed. The Company is not liable for indirect or consequential damages, including lost profits.
Entire Agreement: These T&Cs, with the sales confirmation/proforma invoice, form the complete agreement, superseding all prior discussions.
Amendments: Any amendments or waivers to these T&Cs must be made in writing and signed by authorized representatives of both parties; verbal agreements are not binding.
